By affiliating with APRN WORLD, you (referred here in as the ‘Affiliate’) agree to the following terms and conditions. APRN WORLD reserves the right to update the ‘Terms of Use’ at any time without notice to you. The most current version of the ‘Terms of Use’ can be reviewed by clicking on the “Terms of Use”.

1. The whole rights, title and interest in and to any training materials, curriculum, instructions, the syllabi, mode and methods of instructions and all other intellectual property generated by or belonging to APRN WORLD and used in connection with or for the purpose of the training shall remain with APRN WORLD.
2. The Affiliate shall at all times maintain the secrecy and shall keep confidential the Training materials, Program, curriculum, mode of instructions, the methods, syllabi, curricula and all other information and documents which it may acquire in connection with or in the course of the affiliation and shall not use or disclose such information in an unauthorized manner. The obligation on the part of the Affiliate contained above shall continue for the term of this Agreement and for a period of five (5) years after the termination of this Agreement.
3. The Affiliate will hold all information supplied by APRN WORLD and/or all clients of APRN WORLD as confidential information and the Affiliate will not, during the term of This Agreement or thereafter, communicate or divulge any such information, knowledge or data to any person, firm or corporation other than APRN WORLD or persons, firms or corporation specifically designated in writing by APRN WORLD.
4. Without limiting the rights under copyright, no part of this document or other information may be reproduced, stored in or introduced into a retrieval system, or transmitted in any form or by any means (electronic, mechanical, photocopying, recording, or otherwise), or for any purpose, without the express written permission of APRN WORLD. APRN WORLD may have patents, patent applications, trademarks, copyrights, or other intellectual property rights covering subject matter in this web site and its contents. Except as expressly provided in any written license agreement from APRN WORLD, the furnishing of this document does not give you any license to these patents, trademarks, copyrights, or other intellectual property.
5. The names of actual companies and products mentioned herein may be the trademarks of their respective owners. APRN WORLD maintains its highest level of sincerity and diligence in explicitly stating the copy right information on third party contents used in their materials and methods. Failure in explicit statement of copy right information on third party items does not mean that APRN WORLD is claiming the copy rights on those items.

7. MEMBER ACCOUNT, PASSWORD, AND SECURITY.

If any of the Services requires you to open an account, you must complete the registration process by providing us with current, complete and accurate information as prompted by the applicable registration form. You also will choose a password and a user name. You are entirely responsible for maintaining the confidentiality of your password and account. Furthermore, you are entirely responsible for any and all activities that occur under your account. You agree to notify APRN WORLD immediately of any unauthorized use of your account or any other breach of security. APRN WORLD will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge. However, you could be held liable for losses incurred by APRN WORLD or another party due to someone else using your account or password.

You may not use the Services in any manner that could damage, disable, overburden, or impair any APRN WORLD’s server, or the network(s) connected to any APRN WORLD’s server, or interfere with any other party’s use and enjoyment of any Services. However, APRN WORLD reserves the right to review materials posted to the Communication Services and to remove any materials in its sole discretion. 15. Affiliate privileges

As an Affiliate of APRN WORLD, you are authorized to use the logo, name and other proprietary materials from APRN WORLD for the purpose of advertising the services offered by APRN WORLD. The use of such materials is limited only for advertisements. At any instance, you may identify yourself only as “AFFILIATE’ of APRN WORLD. Other than for advertising purposes, you are not authorized to use the name, goodwill, trademark or copyrighted materials or related matters of APRN WORLD under any circumstances without specific written permission from APRN WORLD.

• As an Affiliate, you will have access to the ‘Affiliate dashboard’, where you may do all the required functions related to reselling courses, products and services provided by APRN WORLD. You will be able to access the relevant affiliate information such as account balances, candidate progress and referral links. You are expected to exercise highest level of integrity and truthfulness in managing the data and use of affiliate services.
• You may keep APRN WORLD free of any legal or business obligations other than those approved in writing by APRN WORLD that you make with your referral candidates. APRN WORLD will be happy to work with you and your candidates in exercising reasonable requests and accommodations without jeopardizing the mission and vision of APRN WORLD. Such accommodations are at the sole discretion of APRN WORLD and you may not make APRN WORLD liable for making any such accommodations based on the individual promises that you exercised with the respective candidates or clients.
• The percentage of payment per candidate will be set as per the agreement between APRN WORLD and the Affiliate. Any changes in such payments are to be agreed by both parties in writing.
• APRN WORLD reserves the rights to end the Affiliate program anytime without prior notice to the Affiliate. In the event of termination, APRN WORLD will pay the affiliate whatever the account balance that remained on the day of termination except in special circumstances as described in the ‘revoking Affiliate status’ session.

16. TERMINATION OF AFFILIATE STATUS

• APRN WORLD keep all the rights to unilaterally revoke the affiliate status of any individual or organization in the event of any unlawful or uncustomary actions by the affiliate causing monitory, intellectual or other form of losses for APRN WORLD or its business interests. In such instances, APRN WORLD holds all the right to make decisions on the account balance based on the losses that incurred to APRN WORLD from the affiliate’s actions. In the event of legal proceedings between APRN WORLD and the affiliate, APRN WORLD will release the payments only after settlements of such legal matters according to the settlement terms. Any legal fee originated in such instance for APRN WORLD will be deducted from the final settlement amount.
• Upon termination of the affiliate status either voluntary or involuntary, Affiliate hereby agrees not to engage in competing business practices for the duration of 5 years (FIVE YEARS) from such event date.
• APRN WORLD values our affiliate as our biggest asset and will make all reasonable efforts in maintaining fruitful relationship with them through high level of customer service, rendering of services and products.
• Affiliate shall not keep APRN WORLD accountable for any financial losses that happened due to technical or other reasons that interfere with delivery of products or services. APRN WORLD will make reasonable efforts to limit any monitory loss for our affiliates.
• Any financial or other related matters in connection with advertisements or promotions conducted by affiliate is the sole responsibility of the affiliate unless entered in a written agreement by APRN WORLD on the cost and liability sharing.
• Affiliate shall not keep APRN WORLD responsible for any specific expenses related to promotional activities at any instances. APRN WORLD solely make decisions on its promotional activities based on internal market analysis.

17. Affiliate Payments

APRN WORLD agrees to pay the affiliates at the rate as shown below

1-10 candidates 10% of the transaction amount

11-25 candidates 15% of transaction amount

26-50 Candidates 20% of Transaction amount

51-100 Candidates 25% of Transaction amount

101-300 Candidates 30% of Transaction amount

301-500 Candidates 35% of transaction amount

> 500 candidates 40% of Transaction amount

The number of candidates are calculated in an incremental basis. That means, if an affiliate brings in more candidates regardless of the product or service, they will be qualified for the higher amount of revenue sharing as per states above.

• The affiliate payment is the designated percentage of the actual transaction amount. APRN WORLD may offer significant discounts on the products as part of marketing efforts and therefore the actual transaction amount may be less than the listed course price. APRN WORLD is committed to share the revenue in a respectful manner with our affiliates.
• APRN WORLD has complete rights on the decisions regarding the percentage of discounts offered for their products and services. Affiliate shall not influence or demand any such decisions, however are welcome to make suggestions for improving such marketing efforts.
• For monthly subscription plans, the affiliate will receive the agreed percentage of shared revenue for duration of enrollment or first six months of candidate’s enrollment depending on which ever is shortest. For example, a candidate enrolling CCRN exam monthly subscription package and stays enrolled for seven months, the payments will be as follows

• For one time transactions like 6 months package or unlimited subscriptions, the affiliate shall receive the corresponding percentage of the total transaction amount.
• If a candidate makes purchase of other products and services of APRN WORLD along with the referred service, the affiliate shall claim the shared revenue only from the referred product or service.
• Payments will be processed after 45 days of actual transaction. The Affiliate will be able to see the candidates and their respective revenue sharing category in the affiliate dash board.
• Any refunds, complete or partial, will be adjusted in the affiliate payment accordingly. The agreement of revenue sharing percentage is on the final revenue obtained by APRN WORLD per referred transaction.
• Affiliates are allowed to make further discounts for their candidates as part of the marketing efforts. However, such unilateral discounts will be deducted from the affiliate revenue and APRN WORLD is not responsible for any such promises. APRN WORLD makes every effort to attractively price the products and services. Any suggestions for special discounts shall be discussed on a case by case basis between APRN WORLD and the affiliate.
• Affiliates shall agree with the current volume discount policy of APRN WORLD. APRN WORLD reserves all the right to make any changes in volume discounts without any form of authorization from the affiliate. APRN WORLD will make every effort to keep clients satisfied as it will serve both affiliate and APRN WORLD in long run with business interest.
• APRN WORLD reserve all the rights to make agreements with institutions in terms of course pricing, special accommodations and other considerations to obtain or preserve business without prior consent or approval by the affiliate. APRN WORLD will make reasonable efforts in keeping the affiliate involve in discussions with such entities to respect and support mutual business interests.
• Institutional or volume discount policy is as follows

18. AFFILIATION DURATION AND REVENUE SHARING

APRN WORLD is not responsible for revenue sharing from any subsequent business development with any candidate or institution after six months of initial referral by the affiliate unless that business was gained by the affiliate. For example, an affiliate referred a candidate for ACNP review course and received shared revenue in the first six months and then APRN WORLD, through our marketing efforts gained more business on other products or services from the same candidate, APRN WORLD will not be sharing revenue generated from any such add on products or services.

• APRN WORLD will not share revenue generated from selling other products and services offered in the web site from referred candidates. Revenue sharing is limited to the transaction related to referred service or products.

19. CHANGES IN AGREEMENT

APRN WORLD will make reasonable efforts in communicating with affiliates regarding any changes in this agreement however, is not liable for any information sharing issues. The affiliate shall refer to the latest agreement at the Affiliate Term of Use session in affiliate dash board.
